This Public Offer Agreement (the "Agreement") governs your use of the Momly platform and services (collectively, the "Service") provided by Tippable OÜ ("we," "us," or "our"). Momly is a digital platform that connects parents with child‑friendly places, activities, specialists, and related services in Estonia.
By registering for an account, submitting an order, making a payment for any premium feature, or otherwise using the Service, you ("you" or "User") accept this Agreement and agree to be bound by its terms.
1. Eligibility and Parental Consent
You must be at least 18 years old and able to enter into legally binding contracts to use the Service. By creating an account, you represent that you are 18 years old or older. If you permit a minor to use the Service, you must be the parent or legal guardian, and you agree to supervise the minor's use. You are responsible for ensuring that children have parental consent to participate and for all activities conducted by minors under your account. We may suspend or terminate accounts if we believe consent has not been properly obtained.
2. Description of Services
Momly provides information about child‑friendly places, events, specialist services, and discounts. We facilitate connections between Users and third‑party providers ("Providers") but do not employ or control those Providers.
You acknowledge that any contract for services (such as tutoring, childcare, or other specialist services) is directly between you and the Provider. We are not a party to that contract and are not responsible for the performance, quality, timing, safety, or legality of those services.
3. Payments, Booking, and Funds Release
The Service facilitates bookings and payments for sessions with Providers. Payments are processed through Stripe, Inc. ("Stripe") and its affiliates.
Payment Collection Agent: You acknowledge and agree that Tippable OÜ acts as the limited payment collection agent for the Provider. This means that when you make a payment to us for a session, your payment obligation to the Provider is deemed fulfilled.
Hold and Release Process: To ensure the safety and reliability of the Service, we hold your payment in a secure status (escrow-like manner) prior to the scheduled session. We will only release the funds to the Provider after the online session has been successfully completed.
Disputes and Non-Performance: If a session does not take place due to Provider absence or technical failure attributed to the platform, or if you file a valid dispute within 24 hours of the scheduled end time, we reserve the right to withhold payment to the Provider and refund you in accordance with our refund policy. If no dispute is reported within 24 hours after the session, the service is deemed accepted, and funds will be released to the Provider.
Prices and fees are displayed on our website and may change. You are responsible for any taxes or duties associated with your purchase.
4. Video Calls and Communications
The Service may facilitate video calls or other communications between Users and Providers through integrated tools. When using Momly's video‑call functionality, you understand that we provide only the technical platform and are not a party to the conversation. We do not supervise, control, or endorse the advice or opinions exchanged.
Privacy and Recording: You must not record or distribute calls without the express consent of all parties involved. You agree to comply with all applicable laws regarding communications and confidentiality (including GDPR). While we reserve the right to comply with valid legal processes (such as court orders), we do not routinely monitor the content of video calls between users and providers.
5. Right of Withdrawal & Cancellations
Statutory Right (EU Consumers): If you are a consumer based in the EU/EEA, you generally have the right to withdraw from this contract within 14 days without giving any reason.
Exception for Scheduled Events: Please note that under EU consumer law, the right of withdrawal may not apply to contracts for services related to leisure activities if the contract provides for a specific date or period of performance.
Waiver for Immediate Use: By accessing a booked session or consuming digital content immediately, you expressly consent to the immediate performance of the contract and acknowledge that you lose your right of withdrawal once the service has been fully performed.
Cancellation Policy: Cancellations made by you are subject to the specific cancellation policy displayed at the time of booking. If you cancel a session within the allowable window, funds held by us will be refunded to you. If you cancel late or fail to attend ("No Show"), the funds may be released to the Provider as a cancellation fee.
6. User Responsibilities
You agree to use the Service only for lawful purposes and in accordance with this Agreement. You must provide accurate, current, and complete information. You will not:
- Use the Service to engage in fraud, harassment, abuse, or any illegal or harmful conduct.
- Transmit defamatory, offensive, or unlawful material, or infringe the intellectual property rights or privacy of others.
- Provide personal data of a minor without parental consent.
- Interfere with or disrupt the operation of the Service.
- Attempt to circumvent security measures or gain unauthorized access to any systems.
Verification: You are solely responsible for verifying the qualifications, identity, and suitability of any Provider you engage through the Service. We do not guarantee the accuracy of provider profiles or background checks unless explicitly stated otherwise for a specific service.
7. Disclaimers and Limitation of Liability
The Service is provided "as is" and "as available" without warranties of any kind. To the maximum extent permitted by law, Tippable OÜ disclaims all warranties, express or implied.
Limitation: You agree that Tippable OÜ, its directors, employees, agents, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service, third‑party services, or video calls. Our total liability to you for all claims arising from the Service will not exceed the greater of (a) the total fees you paid us in the twelve months preceding the claim, or (b) €100.
Consumer Rights Exception: Nothing in this Agreement excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable Estonian or EU law.
8. Indemnification
You agree to indemnify, defend, and hold harmless Tippable OÜ and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to your use of the Service, your violation of this Agreement, your interactions with Providers, or your violation of any law or the rights of a third party.
9. Term and Termination
This Agreement is effective as of the date you first access or use the Service. We may suspend or terminate your account or access to the Service at any time if you violate this Agreement. You may stop using the Service at any time by closing your account. We may preserve or delete your data in accordance with our Privacy Policy.
10. Changes to this Agreement
We may modify this Agreement from time to time. If we make material changes, we will notify you by posting the updated Agreement on our website. Your continued use of the Service after the effective date of the updated Agreement constitutes your acceptance of the changes.
11. Governing Law and Dispute Resolution
This Agreement is governed by the laws of the Republic of Estonia. Any disputes arising from or related to this Agreement will be submitted to the exclusive jurisdiction of the courts located in Tallinn, Estonia.
Consumer Protection: If you are a consumer resident in the European Union, you also enjoy the protection of the mandatory provisions of the law of your country of residence. Nothing in this clause limits your right to bring proceedings in your local courts where required by mandatory consumer law.
